Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between NesChade Global Ltd (“Cliniqa”, “we”, “us”) and the laboratory or organisation (“you”, “Lab”) accessing or using the Cliniqa Lab OS at lab.cliniqa.cloud. By registering or using the platform, you accept these Terms in full.
Cliniqa is a software platform, not a medical provider.
Cliniqa facilitates the delivery and management of laboratory results. It does not diagnose, treat, or provide medical advice. All clinical decisions — including the review, authorisation, and communication of lab results to patients — remain the sole responsibility of the licensed laboratory and its professional staff.
1. Eligibility & Account Registration
- During the MVP phase, Cliniqa is available exclusively to medical laboratories registered in the Federal Republic of Nigeria and operating in compliance with applicable Nigerian healthcare regulations.
- The individual completing registration must be authorised to bind the laboratory to these Terms.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately at support@cliniqa.cloud if you suspect unauthorised access to your account.
2. The Platform & What It Provides
Cliniqa provides a software channel that enables laboratories to:
- Upload and push patient lab result documents
- Track sample collection, processing, and reporting stages
- Monitor quality assurance (QA) metrics and turnaround times
- Manage staff accounts and role-based access
- Receive AI-assisted quality checks on result data
AI-Assisted Features Are Advisory Only
Any AI-generated quality checks, anomaly flags, or data summaries produced by the platform are advisory tools only. They must be reviewed and approved by a qualified, licensed laboratory professional before being acted upon or communicated to patients. Cliniqa accepts no liability for clinical outcomes arising from reliance on AI-generated outputs without professional review.
3. Lab Responsibility for Results
Cliniqa provides the delivery channel; the laboratory is fully responsible for the accuracy, completeness, and appropriateness of all results pushed through the platform. Specifically:
- All results must be reviewed and authorised by a licensed laboratory scientist or pathologist before being published to patients.
- You are responsible for ensuring that patient data is collected and shared in compliance with the NDPA 2023 and any other applicable data protection or healthcare regulations.
- You represent that you have obtained the necessary consents from patients for the processing of their health data through a digital platform.
4. Subscription & Trial
30-Day Free Trial
New labs receive a 30-day trial with full platform access from the date of registration. No payment is required during the trial period.
After Trial — Subscription Required
After the trial period ends, a paid subscription is required to continue using the platform. Without an active subscription, the account enters a read-only state: previously pushed results remain accessible, but new uploads, result pushes, and active operations are suspended.
Pricing
Current pricing is displayed on the subscription page within the portal. We reserve the right to adjust pricing with 30 days’ written notice to account administrators.
Payments
Payments are processed by Paystack. Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Failed payments may result in service suspension.
Refunds
Subscriptions are non-refundable except where required by applicable Nigerian consumer protection law. If you believe you have been charged in error, contact us within 14 days.
5. Acceptable Use
You agree not to use the platform to:
- Upload, store, or transmit any data that is illegal, fraudulent, or fabricated
- Impersonate a registered laboratory, healthcare provider, or regulatory body
- Attempt to gain unauthorised access to other accounts or system resources
- Reverse-engineer, decompile, or attempt to extract the platform’s source code
- Scrape, crawl, or use automated means to access the platform outside of provided APIs
- Use the platform in a manner that violates any applicable Nigerian law or regulation
- Push lab results that have not been professionally reviewed and authorised
6. Intellectual Property
The Cliniqa platform, including its software, design, trademarks, and content, is the intellectual property of NesChade Global Ltd. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the platform as described herein. You retain ownership of all lab data and result documents you upload to the platform.
7. Suspension & Termination
- We may suspend or terminate your account immediately for breach of these Terms, non-payment, or activity that poses a risk to other users or the platform.
- For non-urgent violations, we will generally provide 7 days’ notice and an opportunity to remedy the breach before suspension.
- You may cancel your subscription at any time via the portal settings. Upon cancellation, your account enters read-only mode at the end of the current billing period.
- Upon termination, your data is retained according to our Privacy Policy retention schedule, after which it is securely deleted.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Cliniqa is provided “as is” and “as available” without warranties of any kind, express or implied.
- NesChade Global Ltd is not liable for any indirect, incidental, special, or consequential damages, including clinical outcomes, loss of revenue, or data loss.
- Our total aggregate liability in any 12-month period shall not exceed the total subscription fees paid by you in that period.
- Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded by law.
9. Availability & Service Changes
We aim to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice. Material changes to the platform that affect core functionality will be communicated at least 30 days in advance.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Mediation Act 2023 of Nigeria, with the seat of arbitration in Lagos State.
11. Changes to These Terms
We may revise these Terms from time to time. We will notify account administrators by email at least 14 days before material changes take effect. Continued use of the platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you may cancel your subscription before the effective date.
